ORCC prices $500 million of 3.75% notes due 2025

Owl Rock Capital Corporation (ORCC) announced that it has priced an underwritten public offering of $500.0 million in aggregate principal amount of 3.750% notes due 2025. The notes will mature on July 22, 2025 and may be redeemed in whole or in part at ORCC’s option at any time at par plus a "make-whole" premium, if applicable.

BofA Securities, Inc., Deutsche Bank Securities Inc., Goldman Sachs & Co. LLC, ING Financial Markets LLC, MUFG Securities Americas Inc., RBC Capital Markets, LLC, SG Americas Securities, LLC, SMBC Nikko Securities America, Inc., SunTrust Robinson Humphrey, Inc. are acting as joint book-running managers for this offering. CIBC World Markets Corp., Compass Point Research & Trading, LLC, Credit Suisse Securities (USA) LLC, ICBC Standard Bank Plc, Janney Montgomery Scott LLC, JMP Securities LLC, Keefe, Bruyette & Woods, Inc., Ladenburg Thalmann & Co. Inc., Morgan Stanley & Co. LLC, Natixis Securities Americas LLC, PNC Capital Markets LLC, Raymond James & Associates, Inc., Seaport Global Securities LLC, Wells Fargo Securities, LLC are acting as co-managers for this offering. The offering is expected to close on January 22, 2020, subject to customary closing conditions.

This offering probably could not be sold at the same low yield as a bond from ARCC. ARCC is a long established BDC. ORCC ended Q3-19 low an average cost of capital of 4.79%. So this offering could result in a meaningful cut in costs. So be on the lookout for upticks in the 2020 earnings projection.
 
ORCC's portfolio does have a lower PWAY than ARCC. The BDC equity sold at a lower yield - and higher Price/NII ratio. So the equity market is already buying the idea is safer -  but not the bond market. I am not close to biting on a 3.75% yield. At the same time - this is a much better deal than the ARCC bond offering.
