He actually only owns 41MM units directly. The rest are in partnerships and trusts that are so convoluted it would take a Philly lawyer to figure out the tax ramifications for Mr. Warren (if any.)
The 41 MM units are worth roughly half a billion dollars. A conversion to a C-Corp. would cost $100MM (20%), which would be a little over two years' worth of distributions.
(The same two years would apply to all units if you don't think the trusts are protected.)
On a net worth of $4B, $100M would hardly be missed, especially knowing he'd be getting it all back in a couple years.
