 Maybe he needs some tax losses, or to raise his average cost basis against the recent grant.
Actually this doesn't make sense, on paper. Must be a mistake, or something we don't know.  Even if the grant were to expire it makes no sense to pay 3x the going rate... better to buy 3x as many shares in open market.
