The Notice is related to the S-3 filling.  I think before the S-3 can become effective it must be accepted by the SEC.  Looks like FEEC's S-3 has been accepted/approved by the SEC and they can begin to issue additional shares to raise capital if they need to now.  Necessary backup given the delay in receiving the Arrow funds and the uncertainties there.
